Terms of Service

Last updated: 2026-10-10

1. Who we are and what these Terms cover

These Terms of Service ("Terms") are a contract between you and Adsynq AI Technologies Ltd ("AdSynq", "we", "us"), a company incorporated in Ontario, Canada, with its registered address at Suite A4, 9131 Keele St, Concord, ON L4K 0G7, Canada. They govern your access to and use of the AdSynq ARECS platform — our retail CRM, virtual try-on, follow-up, offers, loyalty, and inventory/fulfillment-tracking software (the "Service").

By creating an account, you agree to these Terms and to our Privacy Policy. If you do not agree, do not create an account or use the Service. If you are creating an account on behalf of a business, you are agreeing on that business's behalf and confirming you have authority to do so.

2. What AdSynq is — and is not

AdSynq is software you use to run your own retail business: managing customer relationships, offering virtual try-on experiences, sending follow-ups, running offers and loyalty programs, tracking inventory, and recording shipments and customer purchase requests.

AdSynq is not a marketplace, payment processor, or party to any sale between you and your customers. We do not list your products for sale on our own behalf, we do not set or collect payment on your behalf, and we do not take a cut of your sales. Where the Service shows a customer a "Buy Now" request or a payment method, that is a reference you provided (a QR code, payment link, or account reference) — payment happens directly between you and your customer, entirely outside AdSynq. We are never in the payment path for those transactions.

Returns, refunds, exchanges, and disputes arising from a sale you make to your customers are solely between you and that customer, governed by your own return policy (which you must publish in the Service before customers can submit purchase requests to you). AdSynq has no role in, and no liability for, the outcome of those transactions.

3. Accounts and eligibility

You must provide accurate registration information and keep your login credentials confidential. You are responsible for all activity under your account. You must be legally able to enter into a binding contract to create an account. We may suspend or terminate accounts that violate these Terms, are used fraudulently, or where required by law.

4. Subscriptions, billing, and Fair Usage

Access to paid tiers of the Service is billed by AdSynq directly — this is the only payment relationship AdSynq itself is a party to. Subscription payments are processed by Stripe; AdSynq does not store your full payment card details.

5. Your content and data

You retain ownership of the product, customer, and business data you upload to the Service ("Your Data"). You grant AdSynq a limited license to host, process, and display Your Data solely to provide the Service to you. You are responsible for having the legal right and any necessary consents to submit your customers' personal data (including any photos used for try-on) into the Service — see our Privacy Policy for how we handle that data, including biometric/try-on images.

WhatsApp. If you connect your own WhatsApp Business account, you are the business sending those messages. You must collect and keep valid opt-in from each customer that names your business, honour opt-outs, and follow the WhatsApp Business Terms of Service, the WhatsApp Business Messaging Policy and Meta's Commerce Policy (for example, no promoting prohibited products). Meta charges you directly for WhatsApp messages. AdSynq may pause WhatsApp sending for your store if Meta restricts your account or these rules are broken.

Connecting WhatsApp. When you connect your WhatsApp Business account, you authorise AdSynq, as a Meta technology provider, to access that account through Meta's API on your behalf: to register your number, send the messages you or your follow-ups send, create and submit your message templates, and receive delivery, quality and account updates. You can disconnect at any time on the WhatsApp page, or remove AdSynq's access in Meta Business Suite; either ends our access and deletes the credentials we hold.

6. Acceptable use

You agree not to use the Service to:

Phone numbers ARECS provides to your store are for your customers' conversations with the AI assistant. They cannot call emergency services and must never be relied on to reach them. ARECS never places calls or sends texts to emergency or service numbers, and when a caller describes an emergency the assistant tells them to hang up and call emergency services, then ends the call.

7. Disclaimers and limitation of liability

The Service is provided "as is". To the maximum extent permitted by law, AdSynq disclaims all warranties, express or implied, and is not liable for indirect, incidental, or consequential damages, or for any loss arising from transactions between you and your customers (which we are never a party to). Our total liability for any claim relating to the Service is limited to the amount you paid us in the twelve months before the claim arose.

8. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your account for breach of these Terms, non-payment (after the grace period described in Section 4), or as required by law. On termination, your right to use the Service ends; data deletion/export rights are as described in our Privacy Policy.

9. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll notify you (e.g. by email or in-app notice) before they take effect. Continued use of the Service after changes take effect means you accept the updated Terms.

10. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction of the courts located in Ontario, Canada for any dispute not otherwise resolved.
